Articles of Incorporation/Certificate of Incorporation

A company’s fundamental and founding document, which must be filed with the secretary of state in the state where the company is incorporated. Under Delaware law, the articles of incorporation must include the company’s name, location and purpose as well as the number, classification and rights of the corporation’s capital stock.
