Lessons Learned in Bäcker
If you haven’t read the details of the Bäcker, et al. v. Palisades Growth Capital II, L.P., 246 A.3d 81 (Del. 2021) case, just scanning the highlights may sound like a made for TV drama. The main character is Alex Bäcker and the backdrop is a courtroom where the Supreme Court of Delaware decides to invalidate a “boardroom coup” when a father and son breached their fiduciary duties by deceiving their fellow board member. The decision illustrates the ramifications of corporate fiduciaries attempting to gain power by using deceitful measures and paying a hefty price when not adhering to the procedural requirements that are associated with conducting board business.
New Ventures partner Lindsay Karas Stencel, Jasmin Hurley and Anthony Long II* recently co-authored an article, “Thanks to Bäcker, There’s Probably More Paperwork,” in which they offer their takeaways on the outcome of this case. Read more.
