I’m senior counsel in the firm’s New Ventures practice group. I work with private companies (middle-market and emerging businesses), investment funds, early-stage investors, lenders and individuals in corporate and finance transactions. Every day I help clients who need general corporate counseling, who are considering starting new businesses, who are buying or selling a business (family-owned, venture-backed or otherwise), who are looking to bring in a new partner or buy out an existing partner, or who need advice on financing a business via private investors, fund investors, venture-debt or traditional commercial debt.

I graduated from Trinity College (Hartford, CT) (B.A.) in 1994 and Vanderbilt University School of Law (J.D.) in 2000. Prior to practicing law, I worked as a human resources and payroll software consultant in Nashville. I am practical and a problem-solver by nature, and I enjoy helping our clients achieve their desired business goals.

I have three school-age children, so add chauffeur and professional spectator to my list of skills. I am an active volunteer at my children’s schools (Ursuline Academy, The Summit Country Day School and St. Mary School) and I interview high school seniors applying to Trinity College. I also am a very active board member of The American Red Cross Greater Cincinnati – Dayton Chapter (ask me about our Home Fire Campaign!) and The Cincinnati Country Club.

Representation of clients in numerous business formations, acquisitions, divestiture transactions, real estate transactions and commercial finance transactions, including:

  • Advising on business organizations and start-ups.
  • Drafting, reviewing and negotiating commercial agreements and employment agreements.
  • Representing financial institutions in acquisition financing and refinancing of commercial real estate projects.
  • Representing financial institutions in syndicated loan transactions.

  • Advising private companies on corporate governance issues.
  • Negotiating acquisition and disposition agreements.
  • Representing companies and shareholders/members in corporate restructurings.
